The website www.chameleon.global and/or the XML (host-to-host) connectivity between you, the Client and Chameleon global, and or the maintenance of a branded white label website (individually and collectively, the “Site”) is provided to you by Chameleon global. (“Chameleon”) subject to the terms and conditions herein, as amended from time to time (the “Terms”) and the terms of your Client Agreement with Chameleon global. You should read and understand these Terms in their entirety before entering into any transactions on the Site. You agree to the Terms, without limitation, as amended from time to time, when you use the Site in any manner. If you do not accept these Terms in their entirety, you should not use the Site or call Chameleon global’s agents. In event of a conflict between these Terms and the Client Agreement, the terms of the Client Agreement shall prevail.

GENERAL INFORMATION REGULATING THE USE OF THIS SITE

You must be able to legally enter into a binding contract with Chameleon global. You must read these Terms each time you use the Site because they are subject to change from time to time without notice to you. You must use this Site for its intended purpose, which is to provide you with data about Travel Inventory offered by Chameleon global (the “Data”) so that you may purchase the Travel Inventory offered on the Site. Travel Inventory may include accommodations (the “Travel Inventory”). You must not violate any regulations, laws or statutes when you use this Site. You must read Chameleon global’s Privacy Policy located at www.Chameleon global and you agree to the terms of Chameleon global’s Privacy Policy. Your use of the Site is subject to the terms of the Privacy Policy. Information that you send to Chameleon global by email is not confidential and Chameleon global is under no obligation to refrain from allowing such communication to be published. Your use of the Site is subject to the limited, revocable license that Chameleon global provides to you and as described below. Your use of the Site must not adversely affect the Site or Chameleon global’s computer systems and networks. YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS CHAMELEON GLOBAL, ITS SUBSIDIARIES AND AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY CLAIM, CAUSE OF ACTION OR DEMAND, LOSS, FINE, PENALTY, OR COST, INCLUDING WITHOUT LIMITATION REASONABLE LEGAL AND ACCOUNTING FEES, AS A RESULT OF YOUR BREACH OF THESE TERMS AND/OR YOUR VIOLATION OF ANY LAW OR RIGHTS OF THIRD PARTIES WITH RESPECT TO YOUR USE OF THIS SITE. Chameleon global may change the Travel Inventory, the Data, the Terms, and/or the Privacy Policies at any time, without notice to you. In addition, Chameleon global does not guarantee the availability of the Site to you or that it will be virus free. The inclusion or offering of any Travel Inventory on this Site does not constitute an endorsement or recommendation of such Travel Inventory and Chameleon global does not guarantee or warrant that the Travel Inventory has been evaluated and/or that travel to particular destinations are advisable or without risk, and Chameleon global is not liable for any issues or losses that arise from travel to particular destinations offered on the Site. Usage of links to third party Sites is at your own risk since these links are provided for your reference only. INFORMATION REGULATING THE TRAVEL INVENTORY ON THE SITE

The Site provides the specific conditions, rules, and qualifications relating to the Travel Inventory. Your use of the Site is confirmation that you accept and understand these conditions, rules and qualifications. Special requests relating to the Travel Inventory are ultimately controlled by the Suppliers, not Chameleon global. Chameleon global will use its best efforts to have the Suppliers fulfill your requests for special needs. You must personally confirm, on a timely basis, the Supplier’s ability to meet special needs requests directly with the Supplier. Unless stated otherwise at the time of your purchase of Travel Inventory, Chameleon global will not award or handle any requests for service requests for frequent travel points, upgrades, and other discount and membership incentives. All Data, including but not limited to availability and pricing for Travel Inventory, is subject to amendment without notice prior to booking by you and confirmation by Chameleon global. Chameleon global does not check the accuracy of all information provided by Suppliers, and Chameleon global will not honor purchases of Travel Inventory which you knew, or should have known, would lead to an unwarranted result, such as the purchase of a cruise for $1. Chameleon global is entitled to accept or reject your request to purchase Travel Inventory at any time and/or for any legal reason or for no reason. In the event that Chameleon global accepts your request to purchase Travel Inventory, Chameleon global will confirm the purchase after your affirmation that you will abide by these Terms, the Privacy Policies, and the conditions and rules relating to your specific purchase. It is your responsibility to provide Chameleon global with accurate information relating to the purchase at the time of your request, and to provide any updates to the information. Star ratings, mapping locations and other data provided on this Site, including without limitation, photographs and descriptions, are for your reference only and generally provided by the actual Supplier of the Travel Inventory. Chameleon global does not review or guarantee the accuracy of this data. Additional policies relating to cancellations, changes, amendments, no shows, late or early arrivals, and similar situations are provided to you at the time of your purchase. You accept these policies by use of this Site and your purchase of Travel Inventory. You must direct all issues relating to the Travel Inventory to Chameleon global at the time you and/or your client know or should know of any issues. You must inform your clients/guests to contact you so that you can timely report issues to Chameleon global. Supplier’s rules, restrictions, and conditions may limit the use of the Travel Inventory. For example, there are minimum age restrictions and/or identification requirements for you to check into a hotel room. It is your obligation to review the Site and the Travel Inventory Supplier’s rules, restrictions and conditions provided on the Site. The prices on the Site clearly indicate the Travel Inventory purchased. It is your or your clients’ obligation to pay for additional services and/or products. Such additional services/products include, but are not limited to, resort fees, rollaway beds, meals, personal services, insurance, etc. You may not use this Site for the purchase of Travel Inventory for a Group. A “Group” is defined as more than 5 hotel rooms. Chameleon global may cancel your reservation without notice and/or liability if you violate this rule. Your violation of any of the Terms herein or of the Suppliers rules, restrictions and conditions may result in the cancellation of your purchase with no refund, unless specifically noted otherwise within these Terms.

HOTEL INFORMATION

Hotel cancellation policies vary per reservation and will be disclosed during the booking process and prior to your approval of the reservation. The applicable cancellation policies will be printed on your reservation voucher. A fee consisting of at least one night stay will be assessed for no shows without cancellation made less than 24 hours prior to check-in date at 3 p.m. (local hotel time). Packages and tours containing an air component will be subject to policies regarding flights. ALL CANCELLATIONS AND AMENDMENTS MUST BE MADE ONLINE BY THE CLIENT. Chameleon global must receive requests for cancellations or amendments of booking within the time frames provided through the Service, or if Client is not receiving time frames through the Service, within the time frames set by the supplier or Chameleon global. Cancellations and change requests and complaints made directly to the Supplier will not be reviewed by Chameleon global. Cancellations, change requests, and complaints must be reported to Chameleon global at +404-424-9225. All complaints must be made when you or the Consumer knew or should have known about the substance of the complaint (i.e. check in date for hotels, pick up of vehicle for vehicle rental, and embarkation time for cruises). Chameleon global will not be liable for any issue that could have been resolved during the Consumer’s use of Travel Inventory if the service supplier had been put on notice of the issue by the Consumer or the Client. In the rare instance where you need to contact us after the Consumer uses the Travel Inventory, you should contact Chameleon global by calling Operator’s customer service center at +1-404-424-9225 or by contacting Operator’s customer service center by at www.Chameleon global and provide all of the documentation substantiating your complaint. Complaints must be sent to Chameleon global within 45 days after you use the Travel Inventory (or when you were scheduled to use the Travel Inventory). If you fail to submit documentation in a timely manner, Chameleon global will not respond to the complaint. All issues that are not resolved during use of service and requests for discounts and/or deductions due to complaints or claims must be presented in writing to Chameleon global within forty-five (45) calendar days after check-out or end of service, including no-shows. These issues must be reported to Chameleon global via our support site, support.Chameleon global and must have the appropriate documentation attached. Chameleon global will determine the validity of all requests for discounts and/or deductions. Client acknowledges that complaints made after use of Travel Inventory may have limited or no resolution. Early departures by the Consumer may require Client to pay for all nights as originally booked and/or early check-out fee/late cancellation penalty in addition to the actual number of nights consumed. In the case of an early departure, the Consumer must obtain from the hotel a written confirmation of the departure date and time. If the Consumer is not able to obtain this documentation from the hotel, the Consumer must call Chameleon global prior to check-out for assistance. If the Consumer does not obtain written early departure confirmation and does not contact Chameleon global as noted above, Chameleon global will charge a $35 service fee to research and inquire about a refund for unused nights on behalf of the Consumer. Age restrictions apply to reservation of hotel rooms. Generally, you must be at least 21 years of age to check into a hotel room. Review of the Site is required for specific age restrictions relating to each reservation. A major credit card or cash deposit may be required upon guests’ check-in at a hotel. Rates quoted are per room per night; hotel taxes and service fees are disclosed at the time of reservation, if applicable. Unless specifically stated on your reservation, rates do not include meals. Star ratings for travel inventory are for informational purposes only and are not a guarantee or warranty of any kind by Chameleon global. Our star ratings may consider objective criteria (for example, the presence or absence of facilities and services) and/or subjective criteria (for example, ambience and reputation). Our star rating for a hotel is not guaranteed to be equal to or consistent with the star ratings found through any other sources. Hotel descriptions and data are subject to change. Chameleon global will make commercially reasonable effort to inform Client of the changes. The information provided on the Site relating to mapping and distances is provided for informational purposes only and is not a guarantee or warranty of any kind by Chameleon global of the location of the hotel. Reservations and bookings of groups (defined as more than 5 hotel rooms) and/or conventions must be made directly with Chameleon global's Groups Department. Chameleon global reserves to the right, in its sole discretion, to cancel any reservations made on the Site which should have been referred to Chameleon global’s Groups Department and/or charge purchasers’ credit card for any additional fees and costs related thereto. Requests for specific features (i.e. non-smoking facility, bedding type) are not guaranteed by Chameleon global or Supplier. Generally, although not guaranteed, bedding in U.S. and Canada hotels is as follows: Single consists of a room with one bed; Twin consists of a room with two beds; Double consists of a room with either one large bed for two people or two single beds; and Triple/Quad consists of a room with two beds accommodating up to 3-4 people. Requests for rollaway beds and cribs may result in additional charges payable directly to the hotel. ownership of operations, Chameleon global will provide (a) notice to Client of the cancellation of the booking by the supplier and (b) a list of alternative Travel Inventory options. The Client has the sole responsibility to notify the Consumer of the cancellation of the booking and, if desired, to book alternative accommodations. Any additional costs/fees related to the rebooking will be the responsibility of the client, not Chameleon global. Chameleon global will not charge any cancellation fees for the cancellation of bookings due to supplier’s cancellation of bookings due to cessation of operations or transfer of ownership. Client acknowledges that hotels undergo renovations and construction from time to time. If a hotel is undergoing renovations while a Consumer is resident in the hotel, the Consumer and Client are not entitled to a refund. Chameleon global will use reasonable efforts to inform Client of any renovation work provided Chameleon global is specifically advised of said renovation work by the supplier with sufficient notice.

FLIGHT INFORMATION

Your offer to purchase air tickets is not accepted and confirmed until Chameleon global sends an email, including ticket numbers, advising of the confirmation of the reservation and receipt of payment in full. Chameleon global’s initial automated notification email, which does not contain ticket numbers, will be sent prior to the confirmation and is NOT a confirmation of the reservation even if the Site indicates availability. If you do not receive a second email with the ticket numbers within 12 hours, it is your responsibility to contact the Chameleon global's flight desk immediately. All airline ticket purchases are non-refundable and non-transferable. Airline ticket purchases may, under certain circumstances, be exchanged prior to departure subject to payment of processing fees, any increases in fare, and similar surcharges which will be assessed at the time of the exchange. Packages and tours containing an air component shall be subject to policies regarding flights irrespective of the value of the components of the package or tour. Air fare prices generally do not include baggage fees imposed by the Supplier. Baggage fees are subject to each airline’s policies, and you are responsible for payment of baggage fees directly to the Supplier. If you fail to check in for one segment of your flight arrangements, the supplier will cancel your remaining flight segments (entire reservation). All reservations must be made in the EXACT name of the person traveling. Changes and amendments to the name of the person traveling are not permitted by the Chameleon global or Supplier. You will be responsible for any charges issued by the Supplier due to incorrect passenger information entered by you at the time of making the reservation. Chameleon global reserves the right, in its sole discretion, to reject your offer to purchase an air ticket or cancel the confirmed reservation due to the following: (a) Airline ticketing restrictions prohibit or limit reservation; or (b) Restricted areas of travel; and/or Chameleon global may require a signed credit card authorization letter for any reservation booked. Changes to and cancellations of air tickets can be made only if the Supplier and specific air ticket rules permit the same. Chameleon global will charge a $30.00 processing fee per ticket for each change or cancellation request. This processing fee will be charged in addition to the fee assessed by the Supplier. In addition, any increase in fare will be applicable. All changes and cancellations must be made by phone with one of Chameleon global's flight desk representatives. NO requests for changes or cancellations will be accepted by email or fax. All approved changes and cancellations will be confirmed by an email confirmation notice from Chameleon global. All Service Fees are non-refundable. Other applicable fees include paper ticket shipping fees: a. $25.00 Second business day delivery; b. $35.00 Express - next business day delivery; c. $75.00 International Delivery (outside the U.S).

RENTAL VEHICLE INFORMATION

All rentals of vehicles through the Site are subject to the Suppliers terms and conditions which are provided to you when you pick up the vehicle. Requests for specific features (i.e. vehicle type) are not guaranteed by Chameleon global or Supplier. A valid driver’s license and credit card is required at the time of pickup of the vehicle. The driver’s license and credit card must be in the name of the individual that reserved the vehicle for his/her use. Debit cards may not be accepted by Supplier. Age restrictions apply to rental of a vehicle. Unless stated otherwise, you must be 25 years of age to rent a vehicle from Suppliers. Rates quoted are based upon dates and times provided at the time of reservation, and rates may change depending upon actual time of pick up or drop off of the vehicle.

CRUISE INFORMATION

Rates quoted are per person unless specified otherwise. A valid passport (with appropriate expiration date, visa, and other requirements) is required at the time of disembarkation for each traveler. Age restrictions apply to reservation of cabin. Review of the Site is required for specific restrictions relating to each reservation. Reservations and bookings of groups (defined as more than 5 cabins) and/or conventions must be made directly with Chameleon global's Groups Department. Chameleon global reserves to the right, in its sole discretion, to cancel any reservations made on this which should have been referred to Chameleon global’s Groups Department and/or charge purchasers’ credit card for any additional fees and costs related thereto.

PAYMENT, PRICES, TAXES, AND SERVICE FEES

The total price you see on the Site includes the rate per room price plus any taxes unless stated otherwise at the time of booking (aggregately, the “Price”); service fees that apply to your reservation are disclosed to you at the time of booking your reservation. The Hotel Fees may include, but are not limited to, hotel taxes owed by Chameleon global to hotel, sales and use taxes, occupancy taxes, room taxes, excise taxes; value added taxes, and other similar taxes as well as service charges related to Chameleon global’s service and fulfillment of your reservation. Generally, the Supplier, not Chameleon global, is the vendor and collects remits hotel taxes to the applicable tax authorities wherever applicable. The service charge or fee imposed by Chameleon global on your reservation is retained by Chameleon global solely to service and fulfill your reservation requests. Fee imposed by the Supplier for personal Travel Inventory are not included unless specifically noted on your reservation confirmation. The guest must pay the Supplier directly for cribs, rollaway beds, resort fees, baggage fees, gratuities, meals and beverages, mini-bar snacks, shows, tours, tips, telephone calls, liquor, laundry, and other surcharges or other Travel Inventory and purchases of a personal and/or supplementary nature which are not otherwise specified in the quoted rates or which are excluded from the Price. The Supplier will assess these additional fees, charges, and surcharges directly to the guest. All personal charges must be paid at the time of service, prior to departure from the hotel, or as designated by Supplier. The currency data and applied currency calculations on this Site are under license from XE.COM. Use of currency data and applied currency applications on this Site are provided on an "as is" basis. Use of this data is offered to you based upon your acceptance of these Terms and the Terms of Use found at https://www.xe.com/legal/dfs.htm. If you do not agree to be bound by and comply with all of the foregoing, you may not use the currency information, Travel Inventory on this Site. If Chameleon global has not granted direct bill status to you (i.e. a credit line), with the exception of cruises, reservations must be paid in full by credit card at the time of reservation. There is a 3% additional fee made whenever booking by credit-card. The payment requirements for cruises vary per reservation and will be provided to you at the time of reservation. Chameleon global follows generally accepted practices for processing payments using credit cards. Chameleon global provides your credit card information to a third party, who may be located outside the United States, for processing payments. Please refer to our Privacy Policy for more detailed information regarding how we protect your personal information.

CUSTOMER SERVICE MATTERS

Your reservation may be subject to cancellation and change fees once we send you a confirmation notice. You will be informed of these cancellation and change fees at the time of booking (i.e. presented within the booking flow). Cancellations, change requests, and complaints must be reported to Chameleon global at +404-424-9225. All complaints must be made when you know or should have known about the substance of the complaint (i.e. check in date for hotels, pick up of vehicle for vehicle rental, and embarkation time for cruises). In the rare instance where you need to contact us after you use the Travel Inventory, you should contact Chameleon global at either by calling Operator’s customer service center at +1-404-424-9225 or by contacting Operator’s customer service center by at www.chameleon.global and provide all of the documentation substantiating your complaint. Complaints must be sent to Chameleon global within 45 days after you use the Travel Inventory (or when you were scheduled to use the Travel Inventory). If you fail to submit documentation in a timely manner, Chameleon global will not respond to the complaint. Chameleon global will determine the amount, if any, of your refund based upon company, Supplier and industry standards. You will not receive a refund for unused, complimentary Travel Inventory. In the event that Chameleon global is required to pay the Supplier for the Travel Inventory, Chameleon global will not refund your payment. You must contact Chameleon global, not the Supplier of Travel Inventory, for all customer service matters. The Supplier will cancel your reservation in the event that you do not check-in to a hotel on the first day; if you contact Chameleon global to advise of a late arrival and Chameleon global will attempt (but cannot guarantee) to remedy the situation directly with the Supplier. The Suppliers do not necessarily have the appropriate special Travel Inventory and equipment to accommodate persons with special needs. Although Chameleon global cannot guarantee the special Travel Inventory and equipment will be available, we will make requests on your behalf to the Supplier if you advise of the needs at the time of booking. It is your client’s obligation to obtain and present proper identification and travel documents, including passports, visas, etc. Chameleon global will not refund your payment in the event that your clients fail to obtain these documents. The name on your clients’ identification and travel documents should match the name on the reservation. Chameleon global does not provide information regarding travel restrictions, warnings, and advisories since Chameleon global does not review whether travel sites are within acceptable risk guidelines. Chameleon global recommends that you and/or your clients consult your local government office regarding travel, health, and safety requirements and recommendations before paying for a reservation. Chameleon global will not cancel bookings due to your clients’ failure to follow these guidelines and rules. Timely requests for refunds that were not satisfactorily addressed in real time must be submitted to Chameleon global in writing no later than 45 days after end of service (end of service means the final date of consumption of Travel Inventory, or if Travel Inventory was not consumed, reserved start date). The request must include the return of all issued documentation. Requests for refunds after this time period will not be reviewed. No refunds or exchanges will be made for any unused, complimentary components of travel inventory. No refunds will be provided for lost, destroyed or stolen documents or tickets. Chameleon global reserves the right to determine whether to provide a refund for consumed Travel Inventory. All refunds are subject to the above provisions governing cancellations and changes, including applicable fees, and are further subject to any such fees or other charges imposed by Suppliers. Generally, no refunds will be awarded if Chameleon global is charged for the service or travel inventory. Acceptance of a refund constitutes a waiver by the Client of all rights and remedies under applicable law other than the amount of the refund.

TRAVEL SPECIFICATIONS

The Suppliers of Travel Inventory do not necessarily have the appropriate special services and equipment to accommodate persons with disabilities or special needs. Please advise Chameleon global of any special requests at the time of reservation and we will forward the request to the appropriate Supplier. Operator cannot guarantee that such requests can be fulfilled by Supplier. However, it is our desire to make every effort to accommodate persons with disabilities and special needs. Passports, identification documents, visas, visa waivers, and/or related travel document requirements vary by country of origin and destination (including transit points). It is your clients’ responsibility to obtain (for all travelers, including children and infants) all required travel documents, at your own expense, prior to making a reservation. We highly recommend that your clients obtain current information regarding entry requirements and security before making a reservation. Chameleon global will not cancel bookings or refund monies due to your clients’ failure to obtain the proper travel documents, including but not limited to passports and visas with proper expiration dates. The name(s) on the above travel documents must match the name(s) on the reservations. For travel to the USA by non-US citizens, including transit, Chameleon global recommends that you review the requirements of the US Department of Homeland Security Visa Waiver Program. Chameleon global strongly advises that you review all travel restrictions, warnings, and advisories available to you through the appropriate government agency and through the US Department of State. Operator does not guarantee or warrant that travel to the destinations available on the Site is advisable and/or within acceptable risk guidelines as outlined by the appropriate authorities. It is your responsibility to determine whether vaccinations or other health restrictions and/or precautions are necessary for travel.

TECHNICAL INFORMATION

Chameleon global will make technology support staff available via telephone number(s) and/or email address(es) during Chameleon global’s business hours to assist Client in accessing and using the Site. Client shall appoint a technical manager for Chameleon global to use as a contact point for all technical issues arising during the term of the Client Agreement and provide notice of the same in writing. THE CHAMELEON GLOBAL PRIMARY CONTACT INFORMATION SHALL NOT BE RELEASED TO THE PUBLIC, PROVIDED TO THE CONSUMER DIRECTLY OR INDIRECTLY, OR USED FOR ANY OTHER PURPOSE OTHER THAN TECHNICAL OPERATIONS SUPPORT. CHAMELEON GLOBAL SHALL NOT RESPOND TO ANY EMAILS SENT TO THE ADDRESS BELOW REGARDING RESERVATIONS, BOOKINGS, PAYMENTS, AND/OR CONSUMER ASSISTANCE. Client is responsible for obtaining and maintaining all computer hardware, computer software, network equipment and telecommunications equipment that may be necessary or useful for accessing and using the Site. All refunds are subject to the above provisions governing cancellations and changes, including applicable fees, and are further subject to any such fees or other charges imposed by Suppliers. No refunds will be awarded if Operator is charged for the service or travel inventory. Chameleon global may charge on a time and material basis for non-standard requests, modifications, service, etc.; provided Client is advised of such charges in advance and in writing.

TRAVEL SPECIFICATIONS

You may have a written agreement between you and Operator which relates to the use of the Site and software provided by Operator (“Client Agreement”). These Terms are in addition to the terms of the Client Agreement. You acknowledge and agree that solely in the case of a conflict between the Client Agreement and these Terms, the Client Agreement shall control. Chameleon global may terminate or restrict your use of the Site, refuse to offer or sell Travel Inventory, and edit the content of the Site, without notice or liability to you. You will not use the Site for any speculative, false, or fraudulent reservations. You must not reproduce, duplicate, modify, copy, distribute, transmit, display, sell, transfer, publish, create derivative works from or otherwise exploit for any purpose the content, software, products, or Travel Inventory or data found on this Site. You may not (i) access, monitor or copy any content or information on this Site using any robot, spider, scraper or other automated means or any manual process for any purpose without express written permission of Chameleon global; (ii) violate the restrictions in any robot exclusion headers on this Site or bypass or circumvent other measures employed to prevent or limit access to this Site; (iii) take any action that imposes, or may impose, in the discretion of Chameleon global, an unreasonable or disproportionately large load on the Chameleon global's infrastructure; or (iv) deep-link to any portion of this Site (including, without limitation, the purchase path for any Travel Inventory for any purpose without express written permission of Chameleon global. You will not use this Site for any purpose that is unlawful and/or prohibited by these Terms. By using this Site, you acknowledge that you understand that the Terms, including our Privacy Policy, constitute the entire agreement between you and Chameleon global.
